Draft outline agreement.  WM - SLS - CG’s   re above Web Site.

This agreement drafted by Wired Media sets out the arrangements for sponsoring the above web site to promote the whole of the strawberry line and connected paths.

1. Wired Media (WM) as agents will design, build, host, maintain and upgrade the official Strawberry Line Web Site on behalf of the Strawberry line steering group/ The Strawberry line Society (SLS) and its Community Groups (CG’s). The site will be submitted to the search engines.

2. A One Stop Shop containing all relevant information to the Strawberry Line and its users.

3. The CG’s affiliated with the SLS will each receive their own blog and have full editorial control and copyright. The CG’s will be responsible for updating and uploading their own information within the sites protocols and structures.

4. WM as sole sponsors of the Web Site will undertake this on a rolling annual basis, for free, without any charges or income from the Web Site, SLS, CG’s, Advertising, or Funding organisations what so ever. No money will be handled by WM. The intention is that these arrangements will continue indefinitely.

5. The benefit to WM will be solely in the form of  PR sponsorship and where ever the below four domain names are published, regardless of media, the words  (sponsored by wiredmedia.co.uk) will appear after :- eg thestrawberryline.co.uk (sponsored by wiredmedia.co.uk)                       

6. WM will transfer the ownership of the following domain names to SLS.

thestrawberryline.com       - pointing site for over seas. multi lingual welcome                                                     
thestrawberryline.org        - reserved                                                        
thestrawberryline.net         - reserved

7. SLS in turn will not sell, lease or transfer the ownership of the four domain names without agreement from WM.  Neither will WM nor SLS seek to change the pupose, design, structures and functions of the sites without each others prior agreement. Only will WM be authorised to make such changes to the sites. 

8. All copyright will be respected & acknowledged (Maps, Photographs, Graphics, Community Groups content, etc) WM will solely own the copyright of all sites design, structures and processes. WM will not transfer these to any 3rd party. Should WM be sold or cease trading these will be offered to the SLS at £1 with a condition that these cannot be sold, leased or transferred without the agreement of WM.

9. The existing Strawberry line Logo to be re cast appropriate for web publication and copyright donated to the SLS.

10. Sustrans to add Walkers and Wheel Chair to their Cyclist Graphic Logo and another to include a pony, for use where horses are permitted.

11. SLS will be able to actively obtain other sponsorship/funding, other than web based organisations, and keep all funding including any merchandise sales.

12. No other web based business is to be promoted or publicised by SLS. or CG’s The Sites will not be used to generally attract advertising which could detract from the purpose of the site and the clarity and simplicity of use. Domain names directly adding benefit to the Strawberry line may appear under “links” and all income would accrue to SLS. (eg Hotels, B&B’s, Pubs, Cafes, Bike Hire and other services etc). Sponsors will be promoted under “Sponsors”

13. All information/data will be treated in strictest confidence and not passed to any 3rd party.

14. The service in part or full will be immediately suspended at WM discretion or if SLS gives notice, and parts may not be restored, if a user (or any third party): - a) publishes materials or data that appears illegal, or offensive, abusive, indecent, obscene or menacing; or in breach of confidence, copyright, privacy or any other rights; or publishes material which may be distasteful.                  b) interferes with or disrupts network users, services or equipment including unauthorised entry to any computers on the Internet. Any illegal activity will be appropriately reported by all parties.

15. Only information that presents the Strawberry line in the best positive light will be published on the web site. Any potentially misleading or negative information will be removed at WM discretion or SLS request.

16. This is to be a strongly pro active Strawberry line Web Site.  

17. SLS and CG’s are free to terminate this relationship at any time, upon giving written notice, although the condition regarding domain names ownership is indefinite.

18. WM, SLS and CG’s will operate within the spirit of this agreement and will promote each others best interests.
